ACG Business & Management Ltd and all its local branches and associate companies are represented in these Sales conditions under the name " ACG Business & Management Ltd ".

1. DEFINITION
- These conditions are inseparable from the order form filled in or signed by the customer on the website. The fact that the order form has been completed or signed by the client entails that the latter is fully appraised of the general sale conditions of ACG Business & Management Ltd and accepts all of its terms.

- The services provided by ACG Business & Management Ltd to the customer can be described in the following way:

  • Company registration,
  • Registered office services,
  • Service of a local representative and/or of a secretary,
  • Nominee shareholders and/or director services ,
  • Service of authenticated documents ,
  • Services such as arranging appointments with a fiduciary service, banking introduction, legal advisers, etc.
  • Mail services.

- In accordance with the detailed information on the order form, ACG Business & Management Ltd is solely entitled to register the Company and provide directors, local representatives and registered address.

- The contract between ACG Business & Management Ltd and client is not concluded until:
I.  The order form has been signed by the client
II. Acceptance by ACG Business & Management Ltd of the order form

- The corresponding invoice issued by ACG Business & Management Ltd has the value of a silent agreement to the contract between ACG Business & Management Ltd and the client. Receipt of the order form does not, under any circumstances, mean that it has been accepted by ACG Business & Management Ltd .


2. RULES OF SERVICE
- The prices of our services presented on acg-business.com are given as reference prices and may be changed without prior notice.

- In the event of a price change after the order form was accepted by the client, the client will have to reconfirm the order.

- In the event that the client fails to pay the annual fees for his company during the month when the invoice is received, ACG Business & Management Ltd is entitled to refuse to provide further services and can terminate the contract.


3. INFORMATION
- ACG Business & Management Ltd is authorized to demand supplementary information on the activity of the company. In this case, ACG Business & Management Ltd will contact the persons mentioned on the order form as the genuine shareholders or directors of the company.

- This information is to be sent by courier, fax or email by the above mentioned persons. ACG Business & Management Ltd has the right to refuse any information that is not sent by authorized persons or was not sent as requested.

- If the required information on the activity of the company is not provided according to the abovementioned rules, ACG Business & Management Ltd has the right to terminate the contract with the client without prior notice and without any financial compensation.

- ACG Business & Management Ltd does not accept any liability with respect to third parties regarding fraudulent or inappropriate use of the company.

- ACG Business & Management Ltd will mail its invoice for services at least 30 days before the annual renewal date. In the event that payment is not received within 30 days, the client implicitly accepts that he does not want to continue the services and therefore risks the company being dissolved.

- If the annual renewal is not made ACG Business & Management Ltd is entitled to inform a financial institution of the situation, strictly respecting the confidentiality clause.

- The services provided to the client by ACG Business & Management Ltd are not considered to be accounting, financial advice, tax adviceand customs services. These matters are managed by the client or his board.


4. OBLIGATIONS
- ACG Business & Management Ltd will provide professional services according to its deontology.

- ACG Business & Management Ltd will not be held responsible for any legislative changes in the country where the company is registered.


5. CONFIDENTIALITY
- ACG Business & Management Ltd agrees not to reveal any information concerning the identity of the client, directors and shareholders or on the activity of the company to third parties without the agreement of the client.

- ACG Business & Management Ltd will not maintain confidentiality if it is legally required to in accordance with a procedure established by the laws of the country where the company is registered.


6. PAYMENT METHODS
Only the following payment methods are acceptable:

  • By Bank transfer . Please contact our administration service at info@acg-business.com which will provide you with our bank details as well as the information necessary for communication.
  • By Western Union. Before making the transfer, please contact our administration service at info@acg-business.com to obtain the information you will you need to include in your communication.


7. LEGAL JURISDICTION
All litigation related to the interpretation and execution of the contract will be under the exclusive jurisdiction of the Courts of United Kingdom.
